BGI Legal advises on Georgia Healthcare Group plc (GHG) London Stock Exchange listing
27 November 2015Georgia Healthcare Group plc (GHG), a company based in the UK and holding the largest healthcare and medical insurance business in Georgia, has been admitted to the premium listing segment of the London Stock Exchange this month, raising 100 million USD in capital (gross proceeds). BGI Legal have acted as a Georgian counsel to the global coordinators (Citigroup Global Capital Markets Limited and Jefferies International Limited) in this deal advising on all Georgian law aspects of the transaction.
The firm's mandate included, inter alia, review of the admission document (prospectus), documentary due diligence of the local group companies as well as advice on regulatory matters.

BGI Legal participates in seminar on Third Parties in International Arbitration: Passers-by and Powers behind the Scenes
16 November 2015On October 8, 2015, Tamar Morchiladze, a junior associate at BGI Legal, participated in a seminar regarding “Third Parties in International Arbitration: Passers-by and Powers behind the Scenes”, organized by the US-based International Centre for Dispute Resolution (ICDR), which is the largest provider of global arbitration and dispute resolution. Tamar addressed the issue of non-signatories in international arbitration, discussing related theories and recent court and arbitration practice.
The seminar was part of Annual Arbitration Days in Georgia, followed by an international conference “Regional Development of Arbitration – Reality, Challenges and Perspectives”. The conference was organized by Georgian International Arbitration Centre (GIAC), supported by United Nations Development Programme (UNDP) and the Government of the Kingdom of the Netherlands. The conference was attended by leading experts in international commercial and investment arbitration worldwide, young practitioners from various countries and also involved a wide range of Government officials and civil society representatives.

BGI Legal advises the lenders on the USD 250 million facility to Adjaristsqali Georgia
13 April 2015BGI Legal's team, led by Lasha Gogiberidze and Sandro Bibilashvili, has just completed its advice to the lenders on the USD 250 million facility to Adjaristsqali Georgia in respect of the financing of the largest private hydropower investment project in Georgia, the Shuakhevi hydropower scheme. The project aims to export power to Turkey by the end of 2016 for nine months each year through the 400kV cross-border Akhalskhe-Borcka transmission line and sell domestically for the remaining three consecutive winter months.
The lender group of Asian Development Bank, European Bank for Reconstruction and Development and International Finance Corporation together provided a loan facility of USD 250 million. IFC was a lead arranger for the financing and is also an equity investor in the project company. The sponsors of the project are India's Tata Power (40%), Norway's Clean Energy Invest (40%), and IFC (20%).
